These Master SaaS Terms ("Terms") govern Client's access to and use of the Benefit Keep platform, a hosted employee benefits website and content management system offered by Benefit Domain, LLC ("Benefit Domain," "we," or "us") (the "Service"). These Terms are incorporated by reference into any Order Form executed between Client and Benefit Domain.
"Client" refers to the contracting party identified in the Order Form. Where a broker or benefits consultant executes an Order Form on behalf of an end client employer, the broker is the Client for purposes of these Terms and assumes all payment obligations and responsibility for ensuring the end client's compliance with these Terms.
Services
Benefit Domain provides the Benefit Keep platform, which enables employers to publish and maintain employee-facing benefits information through hosted websites and content management tools.
The Service includes platform access, hosting, content management functionality, and related support services. The Service does not include legal, compliance, HR, or benefits consulting services unless expressly agreed to in writing.
Access to the Service is limited to the number of authorized users ("Seats") specified in the applicable Order Form. Each Seat permits one designated individual to access the platform. Seats may not be shared but may be reassigned to a different individual with reasonable frequency.
If Client exceeds the Seat limit specified in the Order Form, Benefit Domain may require Client to purchase additional Seats or upgrade to a higher tier. Benefit Domain reserves the right to restrict access until compliance is achieved.
Subscription Term & Renewal
Each subscription will remain in effect for the subscription term specified in the applicable Order Form.
Unless otherwise stated in the Order Form, subscriptions will automatically renew for successive twelve (12) month terms at the then-current annual subscription fee, unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term.
Benefit Domain will provide notice of any subscription fee increase prior to renewal.
Continued use of the Service following renewal constitutes acceptance of the renewed subscription term.
Client may add optional services or upgrades during the subscription term. Add-ons purchased mid-term will be pro-rated for the remainder of the current term and will renew at the full annual rate upon renewal.
Client Responsibilities
Client is responsible for:
The accuracy, completeness, and legality of all content published through the Service
Providing timely updates related to benefit plans, rates, eligibility, and carriers
Reviewing and approving all content prior to publication
Ensuring uploaded materials do not violate applicable laws or third-party rights
Benefit Domain is not responsible for errors resulting from inaccurate or outdated information provided by Client.
Where Client has purchased Managed Content Updates or similar content services, Benefit Domain will prepare content based on information provided by Client. Client remains solely responsible for reviewing and approving all content prior to publication, and for reviewing published content on an ongoing basis to ensure continued accuracy. Benefit Domain is not liable for any errors, omissions, or misinformation in content, whether identified before or after publication.
Content Ownership & License
Client retains ownership of all content, documents, and data uploaded to the Service ("Client Content").
Client grants Benefit Domain a limited, non-exclusive license to host, store, process, and display Client Content solely to provide the Service.
Benefit Domain retains all rights to the Benefit Keep platform, software, templates, layouts, and infrastructure.
Publishing & Access Model
Client acknowledges that employee-facing websites published through Benefit Keep are publicly accessible by default.
Optional light access controls (e.g., shared access codes) are deterrents only and do not constitute secure authentication.
The Service is not intended to store or protect sensitive personal information.
Client agrees not to upload sensitive personal data or confidential company information, including information not intended for public employee disclosure, to the Service.
AI-Assisted Features & Data Use
AI-Assisted Features
The Service may include optional artificial intelligence–assisted features designed to help summarize, organize, draft, or update content ("AI-Assisted Features").
Client acknowledges that:
AI-Assisted Features support content creation and efficiency and do not replace human review or judgment
Client is solely responsible for reviewing, approving, and publishing all content generated or modified using AI-Assisted Features
Benefit Domain does not guarantee the accuracy, completeness, or compliance of AI-assisted outputs
Data Use & Privacy
Client Content processed through AI-Assisted Features is used solely to provide the Service and improve feature functionality. Benefit Domain does not use Client Content to train general-purpose public artificial intelligence models.
Client agrees not to submit sensitive personal data or confidential company information for processing through AI-Assisted Features.
Third-Party AI Providers
Benefit Domain may use third-party artificial intelligence providers to deliver AI-Assisted Features. Benefit Domain requires that such providers process Client Content solely to deliver the requested functionality and not use Client Content to train or improve general-purpose public AI models, in accordance with their applicable terms and data usage policies.
AI-Assisted Features may be subject to usage limits or technical constraints.
Compliance Disclaimer
Benefit Domain does not provide legal, tax, or compliance advice.
Client remains solely responsible for compliance with all applicable laws and regulations, including ERISA, HIPAA, COBRA, and ACA requirements.
Support & Platform Changes
Benefit Domain will use commercially reasonable efforts to maintain platform availability.
Support is provided via email during normal business hours. Response times are not guaranteed.
Benefit Domain may update or modify the Service and will not materially reduce core functionality during an active subscription term.
Termination
Upon termination or expiration of an Order Form:
Client access to Benefit Keep may be disabled
Hosted websites may be taken offline
Client Content may be deleted after a reasonable retention period
Limitation of Liability
To the maximum extent permitted by law, Benefit Domain's total liability shall not exceed the fees paid by Client during the twelve (12) months preceding the claim.
Benefit Domain shall not be liable for indirect, incidental, or consequential damages.
Indemnification
Client agrees to indemnify, defend, and hold harmless Benefit Domain from any claims arising out of or related to:
Client Content
Client's use of the Benefit Keep platform
Any content generated, modified, or summarized using AI-Assisted Features
Client's failure to review or approve content prior to publication
Client's violation of applicable laws or third-party rights
This obligation applies regardless of whether content was created by Client or generated with AI-Assisted Features.
Confidentiality
Each party agrees to protect the other party's confidential information and use it solely for purposes of providing or using the Service.
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Entire Agreement
These Terms, together with the applicable Order Form, constitute the entire agreement between the parties.
